海宁市人民政府在金杜律师事务所的协助下，经授权海宁市交通运输局与浙江杭海城际铁路有限公司在4月6日正式签署《杭州至海宁城际铁路PPP项目合作协议》，这标志着杭州至海宁城际铁路PPP项目正式落地。该项目总投资达136.11亿元人民币，采用政府与社会资本方合作的PPP模式，预计将于2020年底建成通车。作为财政部首批国家级示范项目之一和浙江省都市圈城际铁路近期建设规划中的重要支线，也是中国政企合作投资基金股份有限公司（简称“中国PPP基金”）在浙江省参与投资的首个PPP项目，该项目被列入国家发展和改革委员会PPP项目库，具有重要的示范意义。

6 April, 2017, advised by King & Wood Mallesons (KWM), Haining Municipal People’s Government authorized the signing of Hangzhou-Haining Intercity Railway PPP Project Cooperation Agreement between Haining Transportation Bureau and Zhejiang Hanghai Intercity Railway Co., Ltd., which marked the official launch of the Hangzhou-Haining intercity railway PPP project. With a total investment of 13.611 billion yuan, the project uses a PPP model involving public and private capital. It is expected to be completed and open to traffic by the end of 2020. It is one of the first batch of national demonstration projects sponsored by the Ministry of Finance and an important part of the planned intercity railway in Zhejiang province. It is also the first PPP project invested by China Government-Enterprise Cooperative Investment Fund Co., Ltd. (“China PPP Fund”) in Zhejiang. The project is on the list of the National Development and Reform Commission’s PPP projects and is of important demonstrative significance.

本项目未来建成后起始于杭州市余杭高铁站，终于海宁主城区碧云站，线路全长48.073公里，全线共设站13座。海宁市人民政府授权海宁市交通投资集团有限公司、海宁市基础设施投资基金有限公司出资，中国政企合作投资基金股份有限公司（中国PPP基金）参与投资，共同与社会资本方出资设立PPP项目公司，即浙江杭海城际铁路有限公司。项目公司组建完成后，由项目公司与项目实施机构签署PPP项目合作协议。项目合作期限为29年，其中建设期4年，运营期25年。在合作期限内，项目公司负责项目的投融资、勘察、设计、建设、运营维护及移交。在合作期限届满后，项目公司将全部资产完好、无偿移交给项目实施机构。

Upon completion, the railway will start at Yuhang, and terminate at Biyun, Haining. With a length of 48.073 kilometers, the railway will connect 13 stations in total. Authorized by the Haining government, Zhejiang Hanghai Intercity Railway Co., Ltd., a PPP project company, has been established with funding from Haining Traffic Investment Group Co., Ltd., Haining Infrastructure Investment Fund Co., Ltd. and China PPP Fund.  The PPP project company has signed an agreement with the project implementation agency, under which the cooperation will last 29 years, including four years of construction and 25 years of operation. During the term of cooperation, the project company will be responsible for project financing, survey, design, construction, operation and maintenance and handover. At the expiry of cooperation, it will hand over all the assets to the project implementation agency free of charge.

金杜与本项目总体咨询服务机构普华永道咨询（深圳）有限公司密切配合、紧密合作，就本项目的全生命周期为海宁市人民政府提供法律服务，法律服务的内容包括该PPP项目的前期法律调研、实施方案编制、项目采购文件编制、项目公司的组建、PPP合作协议起草、谈判及签署以及就本项目中其他相关问题提供法律服务。项目负责合伙人为上海办公室李绍文和北京办公室方榕。

In close cooperation with the overall advisory service provider, PricewaterhouseCoopers Consultants (Shenzhen) Limited, KWM provided legal services to the Haining government in the whole life cycle of the project, including preliminary legal research, preparation of implementation programs and project procurement documents, establishment of the project company, and drafting, negotiation and signing of the PPP cooperation agreement. The project was led by partners Shaun Lee (Shanghai) and Fang Rong (Beijing).
