2016年9月22日，财政部与国税总局发布了非上市公司股权激励相关的优惠政策《财政部 国家税务总局关于完善股权激励和技术入股有关所得税政策的通知》(财税[2016]101号)（以下简称为“101号文”），该文于2016年9月1日起施行。在“大众创业、万众创新”的大背景下，许多成长性强的初创公司倾向于利用股权激励的方式吸引人才、特别是核心技术人员，相比上市公司的股权，非上市公司股权的变现能力较差但是税负成本却不低，为鼓励科创企业的发展，101号文针对股权激励提供了递延纳税时点、降低适用税率、扩大优惠主体及激励方式四大利好，但同时，为了体现政策的倾斜性，101号文对享受该优惠政策规定了较为严格的条件。 Continue Reading 带密码的红包，读懂了才是利好

MiFID II makes various adjustments to the exemptions under MiFID I, largely with the aim of tightening the regime and increasing investor protection.
Although two new exemptions have been added – for operators complying with the EU Emissions Trading Scheme Directive in certain circumstances, and for certain gas and electricity operators – these are consequent upon expansions to the scope of MiFID II rather than indicative of new concessions.

The exhaustion of intellectual property rights is a topic of heated debate around the world. The Agreement on Trade-Related Aspects of Intellectual Property Rights leaves much room for more clarity on how to handle this issue, with its Article 6 stating: “For the purposes of dispute settlement under this Agreement, subject to the provisions of Articles 3 and 4 nothing in this Agreement shall be used to address the issue of the exhaustion of intellectual property rights.” In practice, the exhaustion of intellectual property rights is concerned mostly with parallel imports.

国家税务总局于2016年6月29日正式出台《国家税务总局关于完善关联申报和同期资料管理有关事项的公告》（“42号公告”），第一轮的评论已经过去了，问题满满的规定中，42号公告的第18条规定“企业仅与境内关联方发生关联交易的，可以不准备主体文档、本地文档和特殊事项文档”。一文既出，影响巨大，在42号文下，境内关联交易走向何方？
追根溯源，对境内关联交易的特别规定最早见于国税发〔2009〕2号（“2号文”）。根据2号文规定，除了原则上不对境内关联交易做转让定价调整外，满足一定条件的境内企业也可以免于准备同期资料报告，如外资股份低于50%且仅与境内关联方发生关联交易。

IntroductionThe foundational instrument for the enforcement of international arbitral awards, the New York Convention (the “Convention”),[1] has made arbitral awards readily enforceable across the world but, in application, the Convention remains reliant upon the divide between domestic and international arbitration awards.
Cross-border enforcement of arbitral awards within the constitutional principle of “one country, two systems” and between the People’s Republic of China (the “Mainland”) and Hong Kong in 1997 threw this limitation into sharp relief. Indeed, reunification brought about a wholly unsatisfactory state of affairs where Hong Kong awards were, for a period of time, unenforceable in the Mainland, and vice-versa. The solution to this problem, brokered between the authorities of Hong Kong and the Mainland, was a bespoke agreement, the Arrangement Concerning Mutual Enforcement of Arbitral Awards Between the Mainland and Hong Kong (the “Arrangement”).
