追根溯源，对境内关联交易的特别规定最早见于国税发〔2009〕2号（“2号文”）。根据2号文规定，除了原则上不对境内关联交易做转让定价调整外，满足一定条件的境内企业也可以免于准备同期资料报告，如外资股份低于50%且仅与境内关联方发生关联交易。
