King & Wood Mallesons’ (KWM) cross-border team has advised Shanghai Genext Pharmaceutical Technology Co., Ltd. (SGM) on its successful acquisition of Lifeline Scientific, Inc. (LSI), a company incorporated in the State of Delaware, the US. It is the first transaction in which a Chinese enterprise acquired a UK-listed US company with a total of US$87 million, equivalent to approximately RMB580 million.

On 9 December 2016, advised by King & Wood Mallesons (KWM), China Financial Co., Ltd. (CSC Financial, stock code: 6066) had its H shares listed on the main board of the Hong Kong Stock Exchange. CSC Financial issued a total of 1,130,293,500 H shares globally at HK$6.81 per share (including 53,823,500 shares from selling shareholders), and raised a total of approximately HK$7.697 billion, (after deducting the net proceeds from sales by the selling shareholders and the underwriting commissions and other estimated expenses in connection with the offering) including a net amount of HK$7.097 billion (before exercise of over-allotment option).

On 2 November 2016, advised by King & Wood Mallesons (“KWM”), GDS Holdings Limited (“GDS”, stock code: GDS) was successfully listed on Nasdaq. GDS’ initial public offering of 19.25 million American depositary shares (“ADS”) at US$10.00 per share raised US$192.5 million. Following 21Vianet Group and ChinaCache, this IPO marks another large-sized Chinese independent third-party operator of data centers listed in the US. If over-allotment option for purchases of additional ADS is exercised in full, GDS will raise a total of US$ 221.375 million.

On 7 November 2016, advised by King & Wood Mallesons (KWM), Shenzhen O-film Tech Co., Ltd (O-film, SZSE: 002456) signed an equity transfer agreement with Sony (China) Ltd. (Sony China) to acquire 100% equity interest in Sony Electronics Huanan Co., Ltd. (SEH) for approximately USD 234 million. The completion of the acquisition is still subject to government approval procedures.

King & Wood Mallesons (KWM) advised the World Bank on its first Special Drawing Rights (SDR) – denominated bond in the Chinese Inter-Bank Bond Market.

该债券本金总额为5亿特别提款权，已于2016年8月31日成功定价，并于2016年9月2日完成发行，此举对于中国债券市场的发展以及特别提款权作为国际储备资产具有里程碑意义。

The bonds in an aggregate principal amount of 500 million SDRs were priced on 31 August 2016 and issued on 2 September 2016, achieving a landmark development for China’s bond market and for the SDR as an international reserve asset.
